Our services may include, but are not limited to: LLC and Corporation formation, UK Ltd company registration, EIN and ITIN application, Registered Agent services, Virtual business address services, Annual compliance support, Business banking assistance, Payment gateway setup assistance (including Stripe, Wise, Payoneer, and other supported providers), and Business documentation and related filing services. Notch Filing acts solely as a service provider and filing facilitator. We are not a law firm, accounting firm, financial institution, tax advisor, or investment advisor. Any information provided by us is for general guidance only and should not be considered legal, tax, or financial advice. Clients are encouraged to seek independent professional advice whenever required.
By using our services, you confirm that: You are at least 18 years of age; You have the legal authority to enter into binding agreements; All information and documents submitted to Notch Filing are accurate, complete, and up to date; You will promptly notify us of any changes to your information; You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account; You will not use our services for any unlawful, fraudulent, deceptive, sanctioned, or prohibited activity. Notch Filing reserves the right to refuse or discontinue services where false information, suspected fraud, regulatory concerns, or compliance issues arise.
All service fees are clearly communicated before work begins. Government filing fees, state fees, IRS fees, registered agent fees, courier charges, banking fees, payment gateway fees, and any other third-party charges are separate from our service fees unless expressly stated otherwise. Once payments have been made to government authorities or third-party providers, such fees are strictly non-refundable. Recurring services, including Registered Agent, Virtual Address, or Compliance/tax Services are required on a yearly basis.
Certain services offered by Notch Filing depend entirely upon independent third parties, including government authorities, the Internal Revenue Service (IRS), banks, payment service providers, financial institutions, registered agents, and regulatory bodies. Accordingly: Business formation approvals are subject to the relevant government authority; EIN and ITIN issuance are subject to IRS review; Bank account approvals remain solely at the discretion of the respective financial institution; Stripe, Wise, Payoneer and other payment platforms independently determine account eligibility. Notch Filing does not guarantee the approval, activation, availability, processing time, or continued operation of any third-party service. Any delay, rejection, suspension, limitation, or closure by a third party shall not constitute a breach of these Terms by Notch Filing.
You agree to: Provide complete, truthful, and accurate information at all times; Submit all requested documentation within the required timeframes; Maintain compliance with applicable federal, state, local, and international laws; Ensure your business activities remain lawful; Maintain your company's ongoing compliance obligations, including annual reports, tax filings, renewals, and licensing where applicable. Any delay, rejection, penalty, or additional cost resulting from inaccurate or incomplete information provided by the client shall remain the sole responsibility of the client.
All website content, branding, logos, graphics, software, documents, text, and other intellectual property displayed by Notch Filing remain our exclusive property or are used under appropriate license. No part of our website, services, branding, or documentation may be copied, reproduced, distributed, modified, resold, or exploited without our prior written consent.
To the fullest extent permitted by applicable law, Notch Filing shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including but not limited to loss of profits, business interruption, reputational damage, data loss, loss of business opportunities, or anticipated savings. Our maximum aggregate liability arising from any claim relating to our services shall never exceed the total service fee actually paid by the client to Notch Filing for the specific service giving rise to the claim.
Clients may discontinue the use of our services at any time, subject to any outstanding payment obligations. Notch Filing reserves the right to suspend, refuse, or terminate any service immediately where: These Terms are violated; Fraud or misrepresentation is suspected; Required documentation is not provided; Compliance or regulatory concerns arise; or Continued service would violate applicable laws or third-party policies. Termination shall not affect any rights, obligations, fees, or liabilities accrued prior to termination.
Notch Filing reserves the right to modify or update these Terms at any time without prior notice where permitted by law. Updated Terms become effective immediately upon publication on our website unless otherwise stated. Continued use of our services following any update constitutes your acceptance of the revised Terms.
